1. ACCEPTANCE OF TERMS
By accessing FUSE VOID STEM-X, you agree to these terms. Subject to applicable intellectual property laws, we claim no ownership over any output generated from content you lawfully own or are authorized to process.
2. COPYRIGHT & LAWFUL USE
You must hold the legal rights to the audio you process. FUSE VOID is not liable for any copyright infringement resulting from user uploads. You are solely responsible for your content. We reserve the right to refuse, suspend, or permanently terminate access if we reasonably believe uploaded content infringes third-party intellectual property rights.
3. USAGE LIMITS
The system imposes a strict 50MB file size limit and a maximum track length of 8 minutes. You must have a valid credit balance to execute extractions.
4. PRIVACY & TEMPORARY DATA
We do not permanently store your original audio or extracted stems. To allow you time to download, data is held securely for a maximum of 24 hours. After this period, all files are permanently erased via an automated purge protocol. Files may remain in encrypted, non-production disaster recovery backups for up to 30 days, isolated from production and automatically purged thereafter, and never restored except for disaster recovery.
5. REFUND POLICY & EU WITHDRAWAL WAIVER
By clicking 'Process' or 'Purchase', you expressly request that the performance of the digital GPU service begins immediately upon file upload completion and queue assignment. You acknowledge that you irrevocably lose your statutory 14-day right of withdrawal under EU/UK law once the file enters the processing queue. Unconsumed Energy Tokens are refundable within 14 days only if absolutely no file has been uploaded to our servers during that period. For subscriptions, any unused minutes are forfeited per Section 8 and are not subject to pro-rata refund.
6. SECURITY & ACCEPTABLE USE
Any attempt to bypass security mechanisms, access unauthorized API endpoints, or reverse-engineer the architecture is strictly prohibited. Violations will result in immediate account termination, hardware bans, and potential legal action.
7. PASSWORDLESS AUTHENTICATION
Access is granted exclusively via One-Time Passwords (OTP) sent to your email. You are solely responsible for the security of your email inbox. FUSE VOID is not liable for unauthorized access resulting from compromised email accounts.
8. SUBSCRIPTIONS & AUTO-RENEWAL
Unused minutes from Monthly or Yearly subscriptions do not roll over. Your balance is strictly reset to your plan's full allowance at the beginning of each 30-day billing cycle. Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current period. You may manage or cancel your subscription via the billing portal.
9. ENERGY TOKENS
Energy Tokens are one-time purchases. They never expire and will roll over indefinitely, independently of your subscription status.
10. REPRESENTATIONS AND WARRANTIES; INDEMNIFICATION
You represent and warrant that you own or have obtained all necessary rights to process any audio content you submit. You agree to defend, indemnify, and hold harmless FUSE VOID and its affiliates from any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees incurred by the prevailing party) arising out of your breach of these warranties or any third-party copyright infringement claims.
11. DISCLAIMER OF WARRANTIES ("AS IS")
The service is provided "as is" and "as available". FUSE VOID makes no warranties, express or implied, regarding uptime, extraction quality, or fitness for a particular purpose. AI-generated outputs may contain artifacts, inaccuracies, or incomplete separations and should be independently verified before commercial use. We are not liable for any data loss, business interruption, or damages resulting from the use or inability to use the service.
12. AGE RESTRICTION
You must be at least 16 years of age to use this service, and at least 18 years of age (or the age of legal majority in your jurisdiction) to make purchases or subscribe. By accessing STEM-X, you confirm you meet these requirements.
13. COPYRIGHT INFRINGEMENT POLICY (DMCA & EU DSM COMPLIANCE)
FUSE VOID respects intellectual property rights. We operate as a neutral technical tool and do not monitor user content. If you believe your work has been processed in violation of copyright, please notify our Designated Agent at [email protected] with (a) identification of the copyrighted work, (b) proof of ownership, (c) your contact information. We will act expeditiously to disable access where applicable. We maintain a strict Repeat Infringer Policy: accounts with more than two valid infringement notices will be permanently terminated without refund. This policy is intended to support compliance with applicable copyright safe harbor frameworks, including 17 U.S.C. §512 where applicable.
14. GOVERNING LAW & DISPUTE EVIDENCE
Turkish law applies. For EU/US/UK consumers, mandatory consumer protections of your residence remain unaffected. Nothing in these Terms limits your statutory rights or your right to initiate a payment dispute where permitted by law. For payment disputes via Lemon Squeezy, cryptographic logs (job ID, hash, timestamp of URL generation) will serve as prima facie evidence of fulfillment and service delivery. Any dispute arising from B2B use shall be resolved exclusively via ISTAC Arbitration in Izmir, Turkey. For individual consumers outside the EU/UK/US, disputes not resolved amicably shall be submitted to binding arbitration under ISTAC Rules, applying consumer-protective principles of the consumer's habitual residence where mandatorily applicable. If Lemon Squeezy, or any payment processor issues a goodwill refund or reverses a payment for any reason not explicitly covered by our Section 5 policy, you remain personally liable for the full debt and FUSE VOID reserves the right to pursue collection.
15. PROHIBITED USE & MODEL TRAINING RESTRICTION
You shall not use the Service to (i) create a competing dataset or train any machine learning or AI model, (ii) process content for unlawful surveillance or deepfakes, or (iii) circumvent any technological protection measure. You represent that you will not upload any data to train, fine-tune, or improve any third-party AI model. Conversely, FUSE VOID does not claim any ownership, license, or right to use your uploaded audio or resulting stems for machine learning, model training, or fine-tuning purposes. To the extent we process any such data, it is used solely for internal performance analysis, debugging, and quality assurance of the immediate extraction process, and is subject to the deletion protocols in Section 4. We expressly reserve the right to use non-personal, aggregated metadata (e.g., file duration, format, error rates) to improve our systems.
16. LIMITED PROCESSING LICENSE (INPUT CONTENT)
By uploading audio, you grant FUSE VOID a limited, non-exclusive, royalty-free license to temporarily reproduce, transmit, and process such content solely for the purpose of providing the extraction service, expiring automatically upon deletion per Section 4.
17. FAILED TRANSACTION CREDIT PROTECTION
If an extraction fails due to a system or GPU processing error attributable to FUSE VOID, consumed credits will be automatically restored to your account. This does not apply to failures caused by unsupported file formats or user error.
18. LIMITATION OF LIABILITY AND EXCLUSION OF CONSEQUENTIAL DAMAGES
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL FUSE VOID BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS. FUSE VOID'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO FUSE VOID FOR THE SERVICE DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
19. DATA PROCESSING ADDENDUM (GDPR COMPLIANCE)
We act as Data Controller for account data (email, IP, payment metadata) and as Data Processor for audio content. Our processing activities, legal bases (Art. 6(1)(b) performance of contract), retention, and your rights are detailed in our separate Privacy Policy, which is incorporated by reference. Data is processed on servers located in the EU/US. Where personal data is transferred from the EEA/UK to the United States, such transfer relies on the EU-U.S. Data Privacy Framework or Standard Contractual Clauses (SCCs), as applicable. FUSE VOID implements appropriate technical measures to protect personal data and respects deletion requests subject to our automated 24-hour purge policy.
20. FORCE MAJEURE
FUSE VOID shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, strikes, or failures of third-party cloud infrastructure (e.g., AWS, Cloudflare, GPU providers).
21. FRAUDULENT DISPUTES
Fraudulent payment disputes, chargeback abuse, or repeated payment reversals may result in immediate account suspension and permanent forfeiture of remaining credits, subject to applicable law.
22. DEFINITION OF PROCESSING COMMENCEMENT
For the avoidance of doubt, 'processing commences' and 'GPU compute starts' are legally defined as the moment your uploaded audio file is successfully written to our temporary storage and assigned a unique job ID in our processing queue (which we aim to initiate promptly, typically within a few minutes, though actual start times may vary due to system load), regardless of whether GPU execution has physically initiated. This definition governs all refund, chargeback, and withdrawal rights.
23. DMCA COUNTER-NOTIFICATION
A user whose content was removed may submit a counter-notification per 17 U.S.C. §512(g). We will restore access within 10-14 business days absent a court action, unless the original complainant files suit.
24. SEVERABILITY & AUTO-RENEWAL DISCLOSURE
If any provision of these Terms (including the arbitration clause) is found unenforceable in a given jurisdiction, the remaining provisions remain in full force. Subscriptions renew automatically each billing cycle unless cancelled at least 24 hours before renewal via your account settings.
25. EXPORT CONTROLS AND SANCTIONS COMPLIANCE
You represent that you are not located in, under the control of, or a national/resident of any country or region subject to comprehensive sanctions (currently Cuba, Iran, North Korea, Syria, Russia, Belarus, and the Crimea/Donetsk/Luhansk regions) and that you are not on any U.S. or EU denied-party list. You may not use the Service in violation of applicable export control laws. We reserve the right to block access based on IP geolocation to ensure compliance.
26. BINDING ARBITRATION & CLASS ACTION WAIVER (US CONSUMERS)
To the fullest extent permitted by law, and notwithstanding Section 14's consumer protection save for EU/UK residents, any dispute, claim, or controversy arising out of or relating to these Terms or the Service that is not resolved through mandatory consumer courts in the EU/UK shall be resolved exclusively by binding, individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration shall be conducted in the English language via remote hearing unless otherwise agreed. You and FUSE VOID expressly waive any right to a trial by jury or to participate in a class action, collective action, or representative proceeding. If your claim does not exceed $10,000 USD, you may elect to bring it in small claims court instead of arbitration. Any claim must be brought within one (1) year after the claim arose or be forever barred. This arbitration provision survives termination of these Terms.
